Cerbrec Supervisory App — Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Cerbrec Supervisory App, including its mobile and desktop applications (the “App”), provided by Cerbrec Inc. (“Cerbrec,” “we,” “our,” or “us”).

By signing in to or using the App, you agree to be bound by these Terms. If you use the App on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and any separate agreement between your organization and Cerbrec takes precedence over these Terms where they conflict.

1. Eligibility and Accounts

• The App is an enterprise tool intended for authorized personnel of organizations that use the Cerbrec platform. It is not offered for general consumer use.
• You must sign in with an account provisioned through your organization, using your Cerbrec credentials or a supported identity provider (such as Google or Microsoft).
• You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify your organization's administrator or Cerbrec promptly of any unauthorized use.

2. License

Subject to these Terms, Cerbrec grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your organization's internal business purposes. All rights not expressly granted are reserved by Cerbrec.

3. Acceptable Use

You agree that you will not:

• Use the App to provision, configure, scan, or monitor any device, network, or facility that you or your organization are not authorized to manage;
• Reverse engineer, decompile, or disassemble the App except to the extent expressly permitted by applicable law;
• Circumvent or attempt to circumvent any security or access controls of the App or the Cerbrec platform;
• Use the App in violation of any applicable law or regulation, or to infringe the rights of any third party;
• Sell, rent, lease, sublicense, or otherwise redistribute the App or access to it.

4. Infrastructure Responsibility

The App is used to set up, configure, and supervise physical equipment and networks (for example, provisioning nearby devices over Bluetooth and monitoring connected infrastructure). You are solely responsible for ensuring that you are authorized to perform these operations on the equipment and networks involved.

Cerbrec is not responsible for outages, misconfiguration, or damage resulting from operations performed on infrastructure that you were not authorized to manage, or from inaccurate information you provide during setup.

5. Customer Data

Data that you or your organization submit through the App remains the property of your organization and is handled in accordance with the Cerbrec Supervisory App Privacy Policy and any agreement between your organization and Cerbrec.

6. Third-Party Services

The App is distributed through third-party app stores (such as the Apple App Store and Google Play) and relies on third-party services, including sign-in providers (Google, Microsoft) and Google Firebase. Your use of those services is subject to their own terms and policies. Apple and Google are not parties to these Terms and have no obligation to provide support for the App.

7. Updates and Availability

We may update the App from time to time, and may add, change, or remove features. We do not guarantee that the App will be available without interruption or error, and we may suspend or discontinue the App or any part of it.

8. Intellectual Property

The App, including its software, design, and content (excluding your organization's data), is owned by Cerbrec and its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

9. Feedback

If you provide feedback or suggestions about the App, Cerbrec may use them without restriction or obligation to you.

10. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CERBREC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERBREC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. CERBREC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE APP WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOUR ORGANIZATION PAID CERBREC FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

12. Termination

We may suspend or terminate your access to the App if you violate these Terms or if your organization's access to the Cerbrec platform ends. Your organization's administrators may also deactivate your account at any time. Upon termination, the license granted under these Terms ends and you must stop using the App.

13. Governing Law

These Terms are governed by the laws of the State of Delaware without regard to its conflict of law provisions.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date above and, where appropriate, provide additional notice. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.
